Partner Terms & Conditions

These Partner Terms & Conditions ("Partner Terms") govern participation in the Happy Hour Club platform ("Platform") by Venue Partners and Brand Partners, and form a binding agreement between the partner ("you", "Partner") and Happy Hour Club Co Pty Ltd (ACN 679 947 169) ("Happy Hour Club", "HHC", "we", "us"). By submitting an application, accepting an approval email, or making payment for a subscription, you agree to be bound by these Partner Terms, in addition to our general Terms of Service and Privacy Policy.

Part A applies to Venue Partners. Part B applies to Brand Partners. Part C contains terms that apply to both.

Part A — Venue Partner Terms

A1. Application and approval

Venues apply to join Happy Hour Club by submitting a partner application, including venue details, a proposed exclusive member deal, and desired subscription tier. Happy Hour Club reviews and approves applications at its sole discretion. We are not obliged to accept any application, and may decline or remove a venue at any time in accordance with these Partner Terms.

A2. Subscription tiers and fees

Current Venue Partner subscription tiers are:

  • Partner Listing — $49/month (AUD, plus GST where applicable) — featured venue listing, member access, deal setup and management, map placement, partner support;

  • Listing + Social — $99/month — everything in Partner Listing, plus one Instagram post per month, story reshares, and venue tagging;

  • Listing + Social Priority — $149/month — everything in Listing + Social, plus additional monthly social features, priority story placement, featured app positioning, and priority consideration for campaigns.

Fees are billed monthly in advance via Stripe. There is no lock-in contract — you may cancel at any time, effective at the end of the current billing period. Legacy "OG" venues that were onboarded prior to the HHC 2.0 relaunch may be grandfathered onto a free tier at Happy Hour Club's discretion; this status is non-transferable and may be reviewed by Happy Hour Club from time to time.

Fees may be varied by Happy Hour Club with at least 30 days' notice before the change takes effect on your next billing cycle.

A3. Deal accuracy and mandatory honouring

You are responsible for nominating a genuine offer for Happy Hour Club members that is exclusive to the Platform and not otherwise advertised to the general public.

The deal must be honoured. Any member who presents a valid, active Happy Hour Club digital membership card at your venue during the days and times your deal is listed as live on the Platform is entitled to receive that exact deal, without exception. You must not:

  • Refuse or decline to honour the deal because a staff member is unaware of it, new, on a casual shift, or otherwise untrained;

  • Impose conditions that are not stated in the deal listing on the Platform (for example, minimum spend, table-service only, "manager discretion", or restricting the deal to different days or times than shown);

  • Apply a reduced, substitute, or lesser version of the advertised deal; or

  • Tell a member the deal is unavailable or "sold out", other than in circumstances genuinely disclosed on the Platform (for example, a deal correctly flagged as limited-quantity that has been reached).

Staff briefing is your responsibility. You must ensure that all staff working during a live deal window — including new, casual, and relief staff — are briefed on the current deal before their shift. Staff awareness is the single most important factor in a successful partnership. A pattern of staff being unaware of, or refusing to honour, a live deal is treated as a failure to honour the deal by the venue, not an individual staff error, and is a material breach of these Partner Terms.

Changing your deal. If you need to change, pause, or remove your deal, you must notify Happy Hour Club at least 7 days in advance so we can update the deal across the Platform and member wallet passes before the change takes effect. You must not stop honouring, or silently alter, a deal that is still displayed as live on the Platform — the deal shown to members must always match what is honoured in venue.

Member complaints. If Happy Hour Club receives a report that a correctly presented, currently live deal was refused, altered, or made conditional at your venue, we may raise this with you directly for explanation and resolution. Repeated or unresolved failures to honour a live deal are grounds for suspension or termination of your listing under clause A8, without refund of any subscription fees already paid.

A4. Content licence

You grant Happy Hour Club a non-exclusive, royalty-free licence to use images, descriptions, and other content you provide (or that we produce about your venue, including via a content shoot) across the Platform and our marketing channels (including social media), for the purpose of promoting your venue as a Happy Hour Club partner. This licence continues for content already published for a reasonable period after your listing ends, unless you request its removal.

A5. Content shoot packages

Optional professional photo/video content shoots are available for a flat fee of $450 + GST per shoot, covering a 1–2 hour on-site shoot and edited deliverables as described in our current services offering. Content shoots are booked by request to hello@happyhourclub.com.au and are subject to separate scheduling confirmation.

A6. Responsible service of alcohol

You remain solely responsible for complying with all applicable liquor licensing laws and responsible service of alcohol (RSA) obligations, including verifying age and refusing service where appropriate, regardless of a customer's Happy Hour Club membership status. Nothing on the Platform overrides your right and obligation to refuse service in accordance with the law or your venue's own policies.

A7. Venue portal access

You will be provided with login access to the Venue Partner portal for managing your deals, viewing redemption statistics, and updating your venue profile. You are responsible for the security of your login credentials and for any activity conducted through your portal account.

A8. Term, suspension, and termination

Your Venue Partner listing continues on a month-to-month basis from approval until cancelled by either party. We may suspend or remove your listing where: your subscription payment fails and is not resolved within 7 days of notice; you materially breach these Partner Terms, including repeated or unresolved failure to honour your advertised deal as required under clause A3; or we reasonably believe continuing the partnership could harm Happy Hour Club members or our brand. Where we suspend or terminate your listing for breach, no refund is payable for fees already paid, and any fees due for the remainder of the current billing period remain payable. You may cancel your subscription at any time via the venue portal or by contacting us; cancellation takes effect at the end of the current billing period.

Part B — Brand Partner Terms

B1. Application and approval

Brands apply to become a Brand Partner by submitting an application describing the proposed member offer. Happy Hour Club reviews and approves applications at its sole discretion and is not obliged to accept any application.

B2. Subscription fee

The current Brand Partner subscription fee is $29/month (AUD, plus GST where applicable), billed via Stripe. There is no lock-in contract — you may cancel at any time via the brand portal or Stripe Customer Portal, effective at the end of the current billing period.

Happy Hour Club's own products (including AFTRR) may be featured permanently at no charge and are not subject to this fee.

B3. Perk content

You are responsible for the accuracy of your perk listing, including your offer description, promo code, and any linked landing page, and for honouring the offer for any member who presents a valid promo code or clicks through from the Platform. You may update your perk content, promo code, and validity dates at any time via the brand portal; changes take effect immediately.

If you set an expiry date, your perk will automatically deactivate on that date. You are responsible for extending or renewing your listing if you wish to continue after expiry.

B4. Analytics

Happy Hour Club will make available to you aggregate, non-identifying analytics on your perk's performance (views, click-throughs, and promo code copies) via the brand portal. This data is provided for your own marketing purposes and must not be used to re-identify individual members.

B5. Term, suspension, and termination

Your Brand Partner listing continues on a month-to-month basis from approval until cancelled by either party. We may suspend or remove your listing where your subscription payment fails and is not resolved within 7 days of notice, you materially breach these Partner Terms, or we reasonably believe continuing the partnership could harm Happy Hour Club members or our brand.

Part C — General Terms (Venue and Brand Partners)

C1. No exclusivity or guaranteed results

Happy Hour Club does not guarantee any minimum number of members, redemptions, views, clicks, or other engagement with your listing. Happy Hour Club reserves the right to feature, order, and promote listings at its discretion, including giving priority placement to certain subscription tiers.

C2. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or member information disclosed by the other party in connection with the partnership, and to use it only for the purposes of the partnership. This clause survives termination of the partnership.

C3. Independent parties

Nothing in these Partner Terms creates a partnership, joint venture, agency, or employment relationship between Happy Hour Club and you. You act as an independent business at all times.

C4. Limitation of liability

To the maximum extent permitted by law, Happy Hour Club's total liability to you arising out of or in connection with these Partner Terms is limited to the fees you have paid to Happy Hour Club in the 3 months preceding the claim. Happy Hour Club is not liable for any indirect or consequential loss, including loss of profits, business, or goodwill. Nothing in these Partner Terms excludes any right or remedy that cannot lawfully be excluded under the Australian Consumer Law or the Competition and Consumer Act 2010 (Cth).

C5. Payment processing

Subscription payments are processed by Stripe. Happy Hour Club does not store your full payment card details. By subscribing, you also agree to Stripe's terms of service applicable to the payment processing.

C6. Changes to these Partner Terms

We may update these Partner Terms from time to time, with at least 30 days' notice of any material change via email to your registered contact address. Continuing your partnership after the change takes effect means you accept the updated terms.

C7. Governing law

These Partner Terms are governed by the laws of New South Wales, Australia, and each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
